GENERAL TERMS OF USE
OF MATERIALS PROVIDED BY MARAZZI GROUP

1. MARAZZI PROPERTY

• These general terms of use of materials provided by Marazzi Group (hereinafter referred to as the “TERMS”) govern in all respects the terms and limits for your use of the industrial and intellectual property (including, but not limited to, trademarks, logos, and other distinctive signs, domain names, designs and models, products, texts and graphics, and any advertising material: hereinafter collectively and in each of its elements, the “MARAZZI PROPERTY”) of Marazzi Group, which is made available to you for download on Marazzi Group’s websites, platforms, and/or databases or otherwise provided by Marazzi Group within the scope of the commercial relationship with your Company.
• The MARAZZI PROPERTY is protected by the current regulations on industrial and intellectual property. You are therefore authorized to use the MARAZZI PROPERTY only in accordance with these TERMS, excluding any further or different use. In case of violation, your Company will be solely responsible, committing to indemnify Marazzi Group from any harmful consequences that may arise, including claims or actions by third parties in this regard.
• In particular, the MARAZZI PROPERTY must be used:
  – by reproducing only what is made available or otherwise provided directly by Marazzi Group, excluding images, reproductions, and similar obtained elsewhere;
  – exclusively for descriptive/reference purposes of original Marazzi/Ragno products, as functionally and directly related to the sale of the products themselves by your Company and therefore limited to descriptive/reference material related to the sale of Marazzi/Ragno products purchased by you, which is displayed, made available, or distributed at your points of sale, through direct marketing activities and/or published on your institutional website and your social network channels. It is understood that in the aforementioned descriptive/reference material, the trademarks of Marazzi Group concerned must be reported in association with the related products; while it is allowed, but not mandatory, to reproduce the link to our sites/channels and/or our institutional contacts;
  – by faithfully reproducing the shapes, sizes, colors, and proportions, which cannot be modified by you in any way.
• The MARAZZI PROPERTY may not, under any circumstances, be made available by you, even temporarily, to third parties, as any form of transfer/assignment, license, or concession for use, as well as any use in ways or forms other than those authorized, is prohibited. It is understood that the distributors of Marazzi Group will have the possibility to grant the use of the MARAZZI PROPERTY to retailers, subject to the latter’s acceptance of the Conditions.
• It is strictly forbidden to:
  – register and/or record anywhere in the world identical and/or similar trademarks, as well as web domain names and/or accounts/pages/groups, etc. (including personal) of social networks, containing the denominative trademarks owned by Marazzi Group;
  – use the MARAZZI PROPERTY in your advertising/communication initiatives on third-party media (such as: print, television, cinema, radio, public billboards, and third-party websites/social network channels, Ad-words for search engines), in public relations, and in sponsorship activities or during promotional events outside the points of sale, without written permission from Marazzi Group.
  – in particular (but without limitation), it is strictly forbidden to use the MARAZZI PROPERTY by reproducing it on unauthorized media and/or gadgets and merchandising items, even if distributed for free;
  removing trademarks and/or other indications present in it;
  in such a way as to imply to the public that Marazzi Group is a sponsor of (or otherwise promotes) your activity or an event (e.g., sports) or that there is a commercial relationship with your Company other than that between manufacturer and reseller (e.g., creating a website identical or similar to that of Marazzi Group, even through framing);
  in a way that damages the image, reputation, and commercial positioning of Marazzi Group, its trademarks, and/or its products;in the context of misleading or comparative advertising, i.e., in comparison with third-party products.

• The use of the MARAZZI PROPERTY outside the permitted cases must necessarily be agreed in writing and in advance with Marazzi Group.
• Marazzi Group reserves the right to request at any time, at its discretion, the immediate cessation of any use not in accordance with these TERMS or otherwise unauthorized use of the MARAZZI PROPERTY, as well as the right to take legal action to protect its rights
• Your right to use the MARAZZI PROPERTY, even on any specific written authorization issued by Marazzi Group, will in any case automatically cease with the termination or cessation for any reason of the commercial relationship with your Company.
• You are also required, during the relationship, to promptly inform Marazzi Group of any violation of the MARAZZI PROPERTY by third parties that you become aware of and of any claims or actions brought by third parties in relation to the MARAZZI PROPERTY.

2. USE OF IMAGES

The images made available to you for download on Marazzi Group’s websites, platforms, and/or databases or otherwise provided by Marazzi Group within the scope of the commercial relationship with your Company (“IMAGES”) may only be used for descriptive/reference purposes of original Marazzi/Ragno products, in association with the specific products/trademarks concerned from time to time. It is understood that no modification of the IMAGES is allowed

3. LIMITATION OF LIABILITY AND INDEMNITY

• Except in cases of willful misconduct or gross negligence, Marazzi Group will not be liable for any damages to you resulting from the use of the MARAZZI PROPERTY.
• Marazzi Group assumes no responsibility for any use of the IMAGES not in accordance with the previous conditions, nor for any disputes, controversies, or damages resulting from the use of the same in violation of third-party rights or otherwise contrary to the law.
• You will therefore be required to indemnify and hold harmless Marazzi Group from any liability, cost, or damage resulting from uses of the MARAZZI PROPERTY and IMAGES in violation of these TERMS and/or otherwise contrary to the law
